Doing Business in New Jersey as an Out-of-State Company

Do I need a registered agent to register a foreign business in New Jersey?
Yes. All business entities registered with the New Jersey Secretary of State need a NJ Registered Agent. You’ll also need to obtain a Certificate of Good Standing from your home state. (When we register your foreign business, we take care of this part for you at no extra cost.) Here is a list of home state fees from some of the common States that people are from:

As my registered agent, can you sign my formation documents?
We do not have to sign your forms as your registered agent. If you sign up for our registered agent service, you’ll receive all the necessary forms pre-populated with our New Jersey registered agent information on them to make your filings with the New Jersey Secretary of State immediately. You will have what you need AND understand what to do with it in less than 10 minutes. In New Jersey, the Secretary of State only requires original signatures on documents if you mail them in. If you file by fax, you don’t need original signatures. If you’re changing registered agents to us, you will find the pre-signed Change of Registered Agent form in your online account.
Are New Jersey LLCs and Corporations required to file an annual report?
Yes. All companies registered to do business in New Jersey, both domestic and foreign, are required to file an annual report due on the exact day of the anniversary you initially filed or registered your business in New Jersey. You will also need to file a second form with the department of revenue to establish any type of withholding accounts for employees and sales tax, and any other registration needs.
How much does it cost to file an annual report?
The annual report must be filed online and costs $75. Plus, there are Department of Revenue fees of $125 per member for LLCs and $500 minimum for corporations.
How long will it take the Secretary of State to process my forms?
Normal filings are processed by the state within 1-2 months after they receive them. If you pay to expedite, your forms will usually get processed within 2-3 days. Expedite fees cost $15 for corporations and $25 for LLCs. If you file by fax, you will automatically pay the expedite fee.
